These Terms of Service ("Terms") govern your use of the GradeSend Chrome extension, website, and teacher dashboard (together, the "Service").
By installing the extension, signing in, or using the Service, you agree to these Terms and to the Privacy Policy. If you use the Service on behalf of a school or district, you confirm you are authorized to accept these Terms for that organization. If you do not agree, do not use the Service.
GradeSend is a Chrome extension that helps teachers transfer grades from the Canvas LMS into the Frontline TEAMS gradebook, along with a companion website and teacher dashboard. Grade and student data are processed entirely in your browser and are never sent to GradeSend servers — see the Privacy Policy for details. Students never need an account, and no student ever interacts with the Service.
GradeSend is an independent product. It is not affiliated with, endorsed by, or sponsored by Instructure (Canvas), Frontline Education, Edgenuity/Imagine Learning, or any school district.
You access the Service by signing in with your Google account. Access is granted per individual teacher and may not be shared, resold, or transferred. New sign-ins are reviewed before access is activated. Teacher features require a signed-in account with an active subscription, trial, or beta access.
You are responsible for the security of your Google account and your Canvas API token. The Canvas token is stored only on your own device.
The Base plan is $8 per month and the Pro plan is $12 per month (plus any applicable taxes), billed by Stripe. Each plan includes the features described on the pricing page at the time of purchase. Features not included in your plan — for example, tools available only on higher-tier plans — are not licensed to you, even though the extension's code is installed in your browser.
Where offered, new subscribers receive a 14-day free trial. A valid payment method is required to start the trial, and the subscription converts to paid automatically unless cancelled before the trial ends. Free trials are available once per teacher.
Subscriptions renew automatically each month until cancelled, and the payment method on file is charged for each new period.
Cancel anytime via Manage Billing (the Stripe billing portal) in the extension's Settings page or the teacher dashboard. Cancellation takes effect at the end of the current billing period; you keep access until then. We do not prorate or refund partial periods, except where the law requires it (see Section 5).
We may change subscription prices with at least 30 days' notice; changes apply from your next renewal after the notice period.
All payments are final. Except where required by law, we do not provide refunds or credits for any reason, including partially used billing periods, unused time after cancellation, or dissatisfaction with the Service. The free trial exists so you can fully evaluate GradeSend before ever being charged.

We may monitor feature usage metadata (never grade or student data) to enforce this section.
We may suspend or terminate accounts that violate these Terms — including immediately and without notice for serious abuse or the circumvention described in Section 6. Where reasonable, we will warn you first. Terminated accounts forfeit any remaining trial or subscription time without refund, except where the law requires otherwise. You may stop using the Service and cancel your subscription at any time.
We may also discontinue or modify the Service (or any feature) with reasonable notice where practical. If the Service is permanently discontinued, we will make reasonable efforts to notify active subscribers.
Your grades, rosters, and gradebook data are yours. Because GradeSend processes them entirely in your browser, we never receive, store, or claim any rights to them.
GradeSend writes grades into your gradebook on your behalf, but you remain solely responsible for the accuracy of your gradebook. Always review grades after a send, just as you would after manual entry. You are also responsible for complying with your school district's policies regarding third-party tools and for your obligations under FERPA and district data policies.
The Service depends on third parties — Stripe (payments), Supabase (database), Google (sign-in and the Chrome Web Store), and Vercel (website and API hosting) — and it operates on pages served by Canvas and Frontline TEAMS. Their availability and terms are outside our control, and your use of those services through the Service is also subject to their terms. What each third party receives is described in the Privacy Policy.
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uptime, uninterrupted availability, or that grade transfers will be error-free. Canvas, Frontline TEAMS, and Chrome can change without notice in ways that affect the Service. Automated grade entry is a classroom aid — verify your gradebook rather than relying on any transfer blindly.
To the maximum extent permitted by law: (a) we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, grades, or goodwill; and (b) our total liability for all claims arising out of or relating to the Service is limited to the amount you paid us in the twelve (12) months before the claim arose, or $50, whichever is greater. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
You will indemnify and hold us harmless from claims arising out of your violation of these Terms or your misuse of the Service, except to the extent caused by our own breach of this agreement.
Service and billing email. We send email about your own account — for example sign-in and approval notices, billing receipts, payment problems, support replies, and notices about changes to the Service or these Terms. These are not marketing and are sent to all account holders.
Product news (optional). With your consent, we may also send occasional product news and promotional updates about GradeSend. You can opt in or out at any time from the teacher dashboard, or via the unsubscribe link in any such email. Opting out never affects service or billing notices.
We record when and where you gave or withdrew consent, alongside your acceptance of these Terms.
We may improve, change, or discontinue features over time. We may update these Terms; material changes will be posted on this page with an updated date, and you will be asked to review and accept the updated Terms before continuing to use the Service. If you do not accept a change, cancel your subscription and stop using the Service.
These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-law rules. Subject to Section 16 (Arbitration), any dispute that cannot be resolved informally will be brought in the state or federal courts located in Texas, and you consent to their jurisdiction. The Service is intended for use in the United States, and we make no representation that it is appropriate or available for use in other locations. Nothing in this section limits mandatory consumer protections of your place of residence.
Before starting any formal proceeding, please contact us at support@gradesend.com and give us 30 days to work it out — most disputes are resolved this way.
If we cannot resolve a dispute informally, you and GradeSend agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small-claims court. The Federal Arbitration Act governs this section. The arbitration will be conducted by a single arbitrator, in English, in the county where you live or by videoconference, as the AAA rules provide. The arbitrator's award may be entered in any court with jurisdiction. AAA's rules and fee information are available at adr.org.
Disputes will be arbitrated only on an individual basis — you and we each waive the right to a trial by jury and to participate in a class action or class-wide arbitration. If the class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) must proceed in court.
You may opt out of this arbitration agreement by emailing support@gradesend.com within 30 days of first accepting these Terms, stating your account email and that you opt out of arbitration. Opting out does not affect any other part of these Terms.
Nothing in this section limits mandatory consumer protections of your place of residence.
These Terms plus the Privacy Policy are the entire agreement between you and us about the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign this agreement without our consent; we may assign it in connection with a sale or reorganization of the Service.
